Agreement to Our Legal Terms

We are Zircon Consultants ("Company", "we", "us", or "our"), a company registered in Kenya at Spring Court, Ndege Road, Karen, Ground Floor, The Watermark Business Park, Nairobi, Nairobi 00200.

We operate the website courses.zirconconsultants.org (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services"). We provide a platform for people and organizations of all skill levels to learn business training, leadership, management, and entrepreneurship.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Zircon Consultants, concerning your access to and use of the Services. By accessing the Services, you agree that you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time. We will alert you to changes by updating the "Last updated" date above, and you waive any right to receive specific notice of each change. It is your responsibility to periodically review these Legal Terms. Your continued use of the Services after a revised version is posted constitutes acceptance of the changes.

The Services are intended for users who are at least 13 years of age. Users who are minors in the jurisdiction in which they reside (generally under 18) must have the permission of, and be supervised by, a parent or legal guardian to use the Services, consistent with the requirements for processing a child's personal data under the Data Protection Act, 2019 (section 33). If you are a minor, your parent or guardian must read and agree to these Legal Terms before you use the Services.

We recommend that you keep a copy of these Legal Terms for your records.

1. Our Services

Information provided when using the Services is not intended for distribution to, or use by, any person or entity in a jurisdiction where such distribution or use would be contrary to local law or regulation. If you access the Services from outside Kenya, you do so on your own initiative and are responsible for compliance with local laws, to the extent they apply.

The Services are general business training, leadership, management, and entrepreneurship courses. They are not tailored to any regulated industry's specific compliance framework (for example, healthcare or financial-services regulation), so if your use of the Services would be subject to such requirements, you should not rely on the Services to meet them.

2. Intellectual Property Rights

Our intellectual property

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, course materials, website design, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained in them (the "Marks"). Our Content and Marks are protected by copyright and trademark law and are provided "AS IS" for your personal, non-commercial use only.

Your use of our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and to download or print a copy of any Content you have properly gained access to, solely for your personal, non-commercial use. Except as set out here, no part of the Services, Content, or Marks may be copied, reproduced, republished, uploaded, posted, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission. This includes course materials: you may not repackage, resell, or redistribute any course, video, workbook, or other material obtained through the Services.

If you wish to use the Services, Content, or Marks beyond what is set out here, contact us at zircon@zirconconsultants.org. Any breach of this section is a material breach of these Legal Terms and will result in immediate termination of your right to use the Services.

Your submissions and contributions

By sending us any question, comment, suggestion, idea, or feedback about the Services ("Submissions"), you assign to us all intellectual property rights in that Submission, and we may use and disseminate it for any lawful purpose without compensation to you.

The Services may invite you to participate in course discussions, Q&A, reviews, or similar functionality, through which you may post text, video, audio, images, or other material ("Contributions"). Contributions may be viewable by other users. By posting Contributions, you grant us an unrestricted, worldwide, royalty-free, non-exclusive, transferable licence to use, reproduce, distribute, publish, and display your Contributions for any purpose connected with operating the Services, and to prepare derivative works from them.

By posting Contributions, you confirm that they do not violate our Prohibited Activities section below, that they are your own original work or that you have the necessary rights and permissions to share them, and that they are not confidential. We may remove or edit any Contribution at any time, without notice, if we reasonably consider it harmful or in breach of these Legal Terms.

3. User Representations

By using the Services, you represent and warrant that: (1) all registration information you submit is true, accurate, current, and complete; (2) you will maintain the accuracy of that information; (3) you have the legal capacity to agree to these Legal Terms; (4) you are at least 13 years old; (5) if you are a minor in the jurisdiction where you reside, you have the consent of a parent or legal guardian to use the Services; (6) you will not access the Services through automated or non-human means; (7) you will not use the Services for any unlawful purpose; and (8) your use of the Services will not violate any applicable law.

If any information you provide is untrue, inaccurate, or incomplete, we may suspend or terminate your account and refuse any current or future use of the Services.

4. User Registration

You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all activity under your account. We may remove, reclaim, or change a username we determine, in our sole discretion, to be inappropriate or objectionable.

5. Purchases and Payment

You agree to provide current, complete, and accurate billing information for all purchases made through the Services, and to promptly update that information, including your payment method, so that we can process your transactions and contact you if needed. Prices are shown in the currency displayed on the Services at the time of purchase, and any tax or levy applicable under Kenyan law will be added where required. We may change prices at any time before you complete a purchase.

By placing an order, you authorise us to charge your chosen payment method for the amount due. We reserve the right to correct pricing errors, even after a payment has been requested or received, and to refuse, limit, or cancel orders at our sole discretion, including orders we reasonably believe are placed by resellers, distributors, or for fraudulent purposes.

6. Refund Policy

Course and program purchases are final. We do not issue refunds once a purchase is complete, except where required by applicable Kenyan law.

7. Prohibited Activities

You may not access or use the Services for any purpose other than the one for which we make them available, or in connection with any commercial endeavour we have not specifically endorsed. As a user of the Services, you agree not to:

  • Systematically retrieve data from the Services to build a collection, compilation, database, or directory without our written permission.
  • Trick, defraud, or mislead us or other users, including attempts to learn sensitive account information such as passwords.
  • Circumvent, disable, or interfere with any security-related feature of the Services.
  • Disparage, tarnish, or otherwise harm us or the Services, in our reasonable opinion.
  • Use information obtained from the Services to harass, abuse, or harm another person.
  • Misuse our support channels, or submit false reports of abuse or misconduct.
  • Use the Services in a way inconsistent with any applicable law or regulation.
  • Frame or link to the Services without authorisation.
  • Upload or transmit viruses, Trojan horses, or other material that interferes with any party's use of the Services, or that impairs, disrupts, or alters the Services' operation.
  • Post excessive, repetitive, or spam-like content.
  • Use scripts, bots, data mining tools, or similar automated means to interact with the Services.
  • Delete or alter any copyright or proprietary rights notice on any Content.
  • Impersonate another user or person, or use another user's account.
  • Upload or transmit any spyware, web bugs, tracking pixels, or similar passive collection mechanisms.
  • Interfere with, disrupt, or place undue burden on the Services or connected networks.
  • Harass, intimidate, or threaten our staff or agents.
  • Attempt to bypass any measure designed to prevent or restrict access to the Services.
  • Copy or adapt the Services' underlying software or code.
  • Decipher, decompile, disassemble, or reverse engineer any part of the Services, except as permitted by law.
  • Use or launch any unauthorised script, spider, robot, scraper, or offline reader against the Services.
  • Use a buying or purchasing agent to make purchases through the Services.
  • Collect usernames or email addresses of users for the purpose of sending unsolicited communications, or create accounts by automated means or under false pretences.
  • Use the Services to compete with us, or for any revenue-generating purpose beyond ordinary personal or internal business use.
  • Repackage, resell, or redistribute any course materials.

8. User Generated Contributions

The Services may allow you to participate in discussions, Q&A, reviews, or similar functionality (collectively, "Contributions"). Contributions may be viewable by other users and, as such, are treated as non-confidential. By posting a Contribution, you represent and warrant that: it does not infringe any third party's intellectual property, privacy, or other rights; you own it or have the necessary rights and permissions to share it; it is not false, misleading, obscene, harassing, discriminatory, or unlawful; and it does not target the health, safety, or well-being of any individual, including minors.

Any use of the Services in violation of the above may result in suspension or termination of your access.

9. Contribution Licence

By posting Contributions, you grant us an unrestricted, worldwide, royalty-free, non-exclusive, transferable licence to host, use, reproduce, publish, display, and distribute those Contributions for any purpose connected with operating the Services, and to create derivative works from them. This licence covers any media format or technology now known or later developed. You retain ownership of your Contributions; we are not liable for any statements or claims made within them, and you agree to be solely responsible for their content.

We may, at our discretion, edit, re-categorise, or remove any Contribution at any time, for any reason, without notice. We have no obligation to monitor Contributions.

10. Guidelines for Reviews

We may allow you to leave reviews or ratings on the Services. When posting a review, you must: have firsthand experience with what you are reviewing; avoid profanity or abusive, discriminatory, or hateful language; avoid references to illegal activity; avoid false or misleading statements; and not organise or participate in a campaign to post reviews, positive or negative. We may accept, reject, or remove reviews at our discretion. Reviews reflect the views of their authors, not ours. By posting a review, you grant us a perpetual, worldwide, royalty-free licence to reproduce, translate, display, and distribute it.

11. Services Management

We reserve the right, but not the obligation, to: monitor the Services for violations of these Legal Terms; take legal action against anyone who violates the law or these Legal Terms; restrict, refuse, or disable access to any Contribution; remove content that is excessive in size or burdensome to our systems; and otherwise manage the Services to protect our rights and property and support their proper functioning.

12. Privacy Policy

We care about data privacy and security, and we process personal data in accordance with the Data Protection Act, 2019 (Kenya) and our Privacy Policy, which is incorporated into these Legal Terms by reference. Our use of cookies on the Services is described in our Cookie Policy.

Under the Data Protection Act, you have the right to be informed how your personal data is used, to access the personal data we hold about you, to request correction of inaccurate data, to object to certain processing, and to request deletion of data we are no longer authorised to retain (Data Protection Act, 2019, sections 26 and 40). We process personal data lawfully, fairly, and transparently, and only for the purposes we disclose to you at the point of collection.

The Services are hosted in Kenya. If you access the Services from another country, your data will be transferred to and processed in Kenya, and by using the Services you consent to that transfer. We do not knowingly collect personal data from a child without the consent of a parent or guardian, consistent with section 33 of the Data Protection Act. If we learn that a child's personal data has been collected without the required consent, we will delete it as soon as reasonably practicable.

We respect the intellectual property rights of others. If you believe material available through the Services infringes a copyright you own or control, notify us using the contact details in the Contact Us section below (a "Notification"). We will share a copy of your Notification with the person who posted the material in question. Be aware that you may be held liable for damages if you make a material misrepresentation in a Notification; if you are unsure whether material infringes your copyright, consider seeking legal advice first.

14. Term and Termination

These Legal Terms remain in effect while you use the Services. We reserve the right, without notice or liability, to deny access to and use of the Services to any person, for any reason, including breach of these Legal Terms. We may terminate your account and remove any content you posted at any time, in our sole discretion.

If we terminate or suspend your account, you may not register a new account under your name, a false name, or on behalf of a third party. We may also pursue civil, criminal, or injunctive remedies as appropriate.

15. Modifications and Interruptions

We may change, modify, or remove the contents of the Services at any time, at our sole discretion and without notice, and we have no obligation to update outdated information. We cannot guarantee the Services will always be available; we may experience downtime for maintenance or technical reasons. We are not liable for any loss or inconvenience caused by an inability to access the Services during downtime.

16. Governing Law

These Legal Terms are governed by the laws of Kenya. You and Zircon Consultants irrevocably agree that the courts of Kenya have exclusive jurisdiction over any dispute arising in connection with these Legal Terms.

17. Dispute Resolution

Informal negotiations

To resolve disputes efficiently, you and we agree to first attempt to negotiate any dispute, controversy, or claim related to these Legal Terms (a "Dispute") informally, for at least thirty (30) days, before pursuing formal proceedings. Informal negotiations begin upon written notice from one party to the other.

Resolution

If a Dispute is not resolved informally, it shall be submitted to the courts of Kenya, consistent with the Governing Law section above. Nothing in this section prevents either party from seeking injunctive relief, or from bringing a claim concerning intellectual property rights, theft, piracy, invasion of privacy, or unauthorised use, before a court of competent jurisdiction at any time.

18. Corrections

The Services may contain typographical errors, inaccuracies, or omissions relating to course descriptions, pricing, availability, or other information. We reserve the right to correct these and to update information on the Services at any time, without prior notice.

19. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY CONTENT ON THE SERVICES AND ASSUME NO LIABILITY FOR ERRORS, INACCURACIES, UNAUTHORISED ACCESS TO OUR SERVERS, INTERRUPTIONS IN TRANSMISSION, OR ANY VIRUSES OR HARMFUL COMPONENTS TRANSMITTED THROUGH THE SERVICES BY A THIRD PARTY. YOU SHOULD EXERCISE YOUR OWN JUDGEMENT AND CAUTION IN ANY TRANSACTION CONNECTED WITH THE SERVICES.

20. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL BE LIMITED TO THE AMOUNT YOU PAID TO US, IF ANY. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OF CERTAIN DAMAGES; IF THESE LAWS APPLY TO YOU, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

21. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and our respective officers, agents, partners, and employees, from any loss, damage, liability, claim, or demand, including reasonable legal fees, made by any third party arising from: your Contributions; your use of the Services; your breach of these Legal Terms; your breach of any representation or warranty in these Legal Terms; your violation of a third party's rights, including intellectual property rights; or any harmful act toward another user you connected with through the Services. We reserve the right to assume exclusive defence of any matter subject to indemnification, at your expense, and you agree to cooperate with our defence.

22. User Data

We maintain certain data you transmit to the Services to manage their performance, as well as data relating to your use of the Services. While we perform regular backups of data, you are responsible for all data you transmit or that relates to your activity on the Services. We have no liability to you for any loss or corruption of such data, and you waive any right of action against us arising from such loss.

23. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that agreements, notices, and disclosures we provide electronically satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures, contracts, orders, and records, and to electronic delivery of notices and records of transactions initiated through the Services.

24. Miscellaneous

These Legal Terms, together with any policies or operating rules we post on the Services, constitute the entire agreement between you and us. Our failure to enforce any right or provision of these Legal Terms is not a waiver of that right or provision. We may assign our rights and obligations under these Legal Terms at any time. We are not responsible for any failure to act caused by circumstances beyond our reasonable control. If any provision of these Legal Terms is found unlawful, void, or unenforceable, that provision is severable and does not affect the enforceability of the remaining provisions. No joint venture, partnership, employment, or agency relationship is created between you and us by these Legal Terms or your use of the Services.
